SoAI licensing

SoAI is source-available software supplied and licensed by Roberto Martini, an individual established in Italy. Summaries on this page do not replace the controlling documents.

Current availability

SoAI Core is currently available only for Personal Use and the separate review, benchmarking, teaching, and reporting permission described below. Commercial licenses, organization evaluations, and SoAI OS licenses are not currently being issued and are temporarily unavailable. Companies and organizations may contact [email protected] for licensing information or to join the waitlist for future availability. Joining the waitlist grants no license and does not guarantee an availability date.

Personal use

SoAI Core is free for a natural person’s genuine Personal Use as the license defines it, including private household, educational, and learning use. It needs no product key and has no deployment limit. Professional learning remains personal only when it does not use an employer’s or client’s tasks, data, systems, or outputs. Incidental donations or advertising alone do not change a genuinely personal project into organization use.

Work for an employer, client, sole-trader business, nonprofit, school, public body, or other organization is not personal use. Personal rights do not permit redistribution, sublicensing, or offering SoAI or a substantially complete fork as a product.

Reviewing, benchmarking, teaching with, or writing about SoAI Core is separate and needs no entitlement. A journalist, reviewer, publication, benchmarker, researcher, educator, or student may install and run SoAI Core for as long as reasonably needed to test it, measure it, compare it against other software, or publish what they find, including unfavourable findings, on their own machine or one their employer or institution operates for that purpose. No request, approval, registration, or notice is required, and nothing is conditioned on a positive result. It authorizes no ordinary business operations, redistribution, or SoAI OS right.

SoAI OS uses a separate licensing framework and private distribution channel. It is never distributed through the public SoAI Core repository.

Organization evaluation (temporarily unavailable)

The licensing framework permits an identified organization to receive one 30-day Core evaluation for one deployment for genuine internal testing only when an entitlement is issued. No organization evaluation entitlements are currently being issued.

A person with an active personal SoAI OS deployment may convert that exact deployment in place to one identified company’s 30-day OS evaluation. It stops consuming a personal slot while converted. Safe reversion requires company use to end and company data and configuration to be handled lawfully.

After evaluation expiry, SoAI preserves licensing, status, logs, backup, export, recovery, data access, and limited safe repair. Expiry never locks the underlying operating system or customer data.

Planned annual commercial terms (temporarily unavailable)

The following planned terms are published for transparency only. They are not a current offer, and orders are not being accepted.

Each annual plan shares three active production and three active non-production control-plane deployments across its licensed scope. There is no seat, user, GPU, model, request, or workload fee inside those pools. Permitted use includes internal business, client workloads, hosted API, MCP, inference, WebUI, SaaS, agent, and managed-service use.

Standard rights do not permit redistribution, sublicensing, independent client installations without their own rights, OEM or white-label distribution, removal of required notices, or publication of a substantially complete fork. Private expanded rights require a separately signed agreement.

Plans renew automatically only when the accepted checkout says so and may be cancelled before the next billing date. Activated commercial deployments work locally through the written paid term. There is no recurring check-in or general grace period. An exceptional signed continuity record of no more than 30 days is possible only after confirmed timely renewal payment when the normal next term cannot yet be delivered.

Source and Change Dates

Only numbered immutable public releases are official. An exact Core version changes to the MIT License four years after its first official public release; later Core versions do not change early. SoAI OS has no automatic Change Date.

The bundled .soaiplugin packages and the SoAI Connect Android client are MIT-licensed from their first release, separately from SoAI Core and without waiting for a Change Date, so they may be freely inspected, copied, modified, and redistributed, including as a starting point for your own plugins or your own client. That grant covers those first-party sources only. It carries no SoAI trademark right and does not by itself permit running or distributing SoAI Core, and each managed inference engine and third-party library remains under its own license.
