# Personal SoAI OS Purchase Terms 1.0 Document ID: `personal_os_purchase_terms` Version 1.0 — effective 22 August 2026 These terms apply to the one-time personal SoAI OS purchase by the named natural person (the **Purchaser**). Roberto Martini is the individual software owner, licensor, supplier, and support provider. Paddle is the authorized reseller and merchant of record for Paddle transactions. ## 1. Purchase and grant The price is USD 99 once, excluding taxes and legally required checkout charges presented by Paddle. After Paddle confirms and the licensing service reconciles the completed payment, the Purchaser accepts the exact governing document versions, and a matching credential is delivered, the Purchaser receives the perpetual personal grant in `soai_os/licenses/LICENSE.md` for up to three active deployments. The purchase is for one named natural person and is not an organization, employer, client, sole-proprietor business, redistribution, OEM, sublicensing, hosted-service, white-label, or professional-support license. ## 2. Three active deployments A deployment is one independently managed SoAI OS control plane with one licensing identity. Replicas count as one only when they form one logical high-availability control plane, share configuration and entitlement, and cannot operate independently. A separately usable control plane is another deployment. Powered- off backup images do not consume a slot. A replacement may assume a slot after the prior deployment stops, using the supported release or recovery process. Household members and private household guests may use the Purchaser's installations but receive no transferable license or separate capacity. ## 3. Updates The price includes every update generally released for the same SoAI OS product without another software-license charge, including major and minor versions. This does not promise any particular update, feature, version, schedule, support term, or indefinite continued development and does not automatically include a genuinely separate successor product. A rename may not be used merely to evade this promise. Mandatory consumer conformity, remedy, and necessary-update rights remain unaffected. ## 4. Offline operation and permanent recovery After successful activation, personal entitlement validation is local. A valid deployment requires no recurring online check and continues through temporary website or licensing-service outages. User-initiated activation, deactivation, rehost, replacement, conversion, recovery, or update may contact the service. If activation and recovery services are permanently discontinued, legitimate purchasers will receive a permanent offline recovery or equivalent method. The controlled procedure verifies the purchase and restored allocation state, preserves the three-slot limit, and supports replacement and loss recovery. No temporary outage triggers it and no universal bypass or master key is shipped. ## 5. Digital-content information and conformity SoAI OS 13 is a self-hosted Debian 13 appliance for amd64 or arm64 computers. The Purchaser needs compatible hardware, installation media or virtualization, local administrator control, storage appropriate to the selected models and data, and network access for initial installation, payment, credential delivery, activation, and user-requested online operations. Hardware acceleration, inference engines, models, and third-party providers have their own compatibility, resource, account, and license requirements. Their availability is not guaranteed by this purchase. SoAI exposes OpenAI-compatible and Anthropic-compatible HTTP APIs and MCP interfaces as documented for the installed release. Compatibility with a particular client, model, plugin, provider, GPU, driver, operating environment, or future third-party change is promised only when the release documentation expressly identifies it as supported. The signed credential controls the personal grant and three-deployment capacity; it does not encrypt Purchaser data, impose digital-rights restrictions on that data, or require a recurring online check after successful activation. The digital content and single-use claim link are sent to the purchase email after Paddle confirms payment and the licensing service reconciles the transaction. The link expires for security. A failed or expired delivery is reissued after the purchase is verified through `support@soai.to`. Statutory conformity, necessary update, repair, replacement, price-reduction, termination, and refund remedies remain available where applicable. A complaint about delivery, activation, compatibility as expressly described, or conformity may be sent to `support@soai.to` with the Paddle transaction reference and without secrets. ## 6. Company evaluation and commercial conversion The Purchaser may atomically convert one active personal deployment in place into one identified company's 30-day SoAI OS evaluation under `ORGANIZATION-EVALUATION-TERMS.md`. While converted, it does not consume a personal slot. The Purchaser retains this personal license for other personal deployments. If company use ends without purchase, reversion requires the company-use-ended and company-data-handled attestations and an available personal slot. A failed conversion or reversion leaves the prior entitlement unchanged. An active personal or converted evaluation deployment may convert in place to the company's matching commercial entitlement. The company owns the commercial grant; the personal purchase remains the Purchaser's. Successful conversion releases any personal allocation and is idempotent and recoverable. ## 7. Delivery, cancellation, refunds, and consumer rights Paddle's accepted buyer terms govern checkout, payment, taxes, invoices, cancellation, and refund processing within their scope. This is a one-time purchase, not an automatically renewing subscription. Buyers use Paddle's process for Paddle transaction refunds. Any request for immediate digital delivery and acknowledgement affecting a statutory withdrawal right must be separately and affirmatively accepted and recorded at checkout. Nothing in these terms waives a non-waivable withdrawal, conformity, necessary-update, refund, replacement, price-reduction, or other consumer remedy. A verified full refund, chargeback, fraud finding, legal requirement, or material- breach decision may cause an explicit signed suspension or termination consistent with the transaction and law. A raw provider event alone does not silently change rights. Lawful access to Purchaser data remains available. ## 8. Support and responsibility The USD 99 price includes reasonable licensing and activation assistance but no professional support, custom development, or guaranteed response. Paid support may be offered separately. The Purchaser owns their data, configurations, independent code, inputs, and outputs to the extent provided by law and third-party terms. They remain responsible for security, backups, providers, models, plugins, validation of outputs, and lawful use. ## 9. Controlling terms `soai_os/licenses/LICENSE.md` controls the SoAI OS Materials. `LICENSE.md` controls SoAI Core files. These purchase terms control the paid personal grant. Mandatory law and accepted Paddle buyer terms prevail within their respective scope. Accepted document fingerprints are immutable for the purchase and cannot be silently replaced by later terms that reduce granted rights. ## 10. Notices and contact Licensing and activation assistance under section 8 is available at `support@soai.to`. A notice to the Licensor under these terms is effective when delivered to the licensing contact published at `https://soai.to/legal-notices/`, or to any other contact the Licensor later designates there or in writing. A notice to the Purchaser is effective when delivered to the contact recorded in their order or entitlement record. Nothing here replaces Paddle's process for transactions Paddle processes, or limits a statutory withdrawal, conformity, or other non-waivable consumer remedy under section 7.
