# SoAI Organization Evaluation Terms 1.0

These terms are between Roberto Martini (the **Licensor**) and the identified
natural person acting as a sole proprietor, or the identified legal or collective
entity (the **Evaluator**). They grant no personal, commercial, production,
redistribution, or perpetual right.

## 1. Available evaluations

An identified organization may receive one general SoAI evaluation in one of two
forms:

1. **Core evaluation:** one standalone SoAI Core deployment for 30 days.
2. **SoAI OS evaluation:** one active personal SoAI OS deployment, previously
   purchased and activated by a named natural person, converted in place for the
   identified organization's 30-day evaluation. It includes Core components
   operating inside that OS deployment but authorizes no separate Core deployment.

There is no general Core + OS evaluation, freely downloadable SoAI OS evaluation,
separate company OS evaluation payment, or alternative OS distribution path. An
organization receives either a Core evaluation or a converted OS evaluation, not
both as a right.

Review, press, benchmarking, and teaching use of SoAI Core is not an evaluation and
consumes no evaluation right. `LICENSE.md` section 3.1 permits it directly, without
an entitlement, request, or notice.

## 2. Identity, authority, and acceptance

The Evaluator must provide its accurate legal name, country, appropriate
registration or tax identifier, and an authorized natural-person acceptor's name
and email. The acceptor attests that they have authority to bind the Evaluator.
The entitlement and acceptance record identify the exact product, deployment,
document versions, and SHA-256 fingerprints.

Organization identity, not merely deployment identity, enforces the one-general-
evaluation rule. An active or previously started Core or OS evaluation makes the
organization ineligible for another as a right. An unactivated expired reservation
does not consume the right. The Licensor may privately extend or reissue an
evaluation at discretion through a reasoned, audited operator action.

Each separately identified sole proprietor, legal entity, or collective entity is
its own Evaluator for this rule. A parent, subsidiary, or other affiliate is not
made ineligible merely because a related entity evaluated, and an Evaluator does
not gain a further evaluation by reorganizing, renaming, or re-registering. Where
affiliated Evaluators request evaluations to obtain continuous or repeated use of
the same deployment, product, or team, the Licensor may treat those requests as
one evaluation of a single organization.

## 3. Start, duration, and scope

A Core evaluation first creates a pending reservation bound to one deployment.
Its 30-day term begins only when that deployment first successfully activates the
signed evaluation entitlement. A pending reservation expires after 24 hours.

An OS evaluation begins only when the personal deployment successfully commits
the conversion. While converted, it does not consume one of the purchaser's three
personal deployment slots. Retry or a lost response returns the same persisted
dates and signed result; it does not create another evaluation.

The Evaluator may use the deployment only for genuine internal testing and a
realistic proof of concept. Continuing production, customer service, hosted or
managed service, SaaS, redistribution, sublicensing, OEM delivery, white-labeling,
and transfer to another organization are prohibited.

## 4. Expiry, conversion, and OS reversion

At expiry, SoAI application functionality becomes restricted. Licensing, status,
logs, backup and export, data access, recovery, and limited safe repair remain
available. Expiry never locks Debian (SoAI OS) or the Evaluator's data.

During or after the evaluation, the Evaluator may convert the same deployment in
place to a matching active commercial entitlement under
`COMMERCIAL-LICENSE.md`. A failed conversion leaves the evaluation unchanged.

If a SoAI OS evaluation is not converted, it may revert to the personal purchaser only
after all company use ends and company-controlled data and configuration are
removed, returned, or otherwise handled lawfully. The acceptor must affirm those
facts. Reversion reacquires a personal deployment slot atomically; lack of capacity
leaves the evaluation state unchanged. The purchaser's underlying personal
license remains theirs throughout.

## 5. Conditions and responsibility

The Evaluator must preserve notices, use reasonable security, maintain backups,
comply with law and third-party terms, and not bypass licensing or capacity
controls. The Evaluator owns its data and independent materials to the extent
provided by law and third-party terms and remains responsible for its deployment,
providers, models, plugins, outputs, and use.

## 6. Warranty, liability, and law

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE EVALUATION IS PROVIDED “AS IS” AND
“AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS, TITLE,
NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, OR RESULTS.

The Licensor is not liable for indirect, consequential, special, or lost-profit
damages where lawful. Aggregate ordinary liability is limited to USD 100 because
the evaluation is free. Nothing limits fraud, intentional wrongdoing, gross
negligence, or liability that law does not permit the parties to limit.

Italian law governs and the competent courts at the Licensor's Italian domicile
have jurisdiction, except where mandatory law provides otherwise. Mandatory law
prevails. `LICENSE.md` governs Core files. The SoAI OS Source-Available License
governs OS files; it ships only inside SoAI OS artifacts, at
the separately published SoAI OS license, and is published for everyone at
`https://soai.to/downloads/soai-os-LICENSE.md`. These terms control only the
evaluation grant.
